IMPORTANT LEGAL NOTICE: These Terms of Service constitute a legally binding agreement. By accessing or using ReasonMD, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Acceptance of Terms
Welcome to ReasonMD ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the ReasonMD platform, software, and services (collectively, the "Service"). The Service is provided by ReasonMD and is intended solely for use by licensed healthcare professionals.
By creating an account, accessing, or using any part of the Service, you ("you," "your," or "User") agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations.
2. Eligibility and User Requirements
2.1 Healthcare Professionals Only
The Service is designed exclusively for licensed healthcare professionals, including but not limited to:
- Physicians (MD, DO)
- Nurse Practitioners (NP)
- Physician Assistants (PA)
- Medical students and residents (for educational purposes)
- Other licensed healthcare providers authorized to practice medicine
2.2 User Representations
By using the Service, you represent and warrant that:
- You are a licensed healthcare professional or medical student/resident in training
- You have the legal authority to enter into this agreement
- You are at least 18 years of age
- All registration information you submit is accurate and current
- You will maintain the accuracy of such information
2.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
3. Description of Service
3.1 Clinical Decision Support Tool
ReasonMD is a clinical decision support tool that uses artificial intelligence to assist healthcare professionals in:
- Generating differential diagnoses with probability assessments
- Creating evidence-based treatment plan suggestions
- Producing structured SOAP (Subjective, Objective, Assessment, Plan) notes
- Organizing clinical information for documentation purposes
3.2 Scope and Limitations
CRITICAL DISCLAIMER: ReasonMD is an INFORMATIONAL and EDUCATIONAL tool. It is NOT intended to:
- Diagnose medical conditions
- Prescribe treatments or medications
- Replace professional medical judgment
- Provide medical advice to patients
- Serve as a substitute for clinical evaluation
- Make clinical decisions on behalf of healthcare providers
ALL CLINICAL DECISIONS MUST BE MADE BY QUALIFIED HEALTHCARE PROFESSIONALS based on their independent clinical judgment, patient-specific factors, and direct patient evaluation. The Service provides suggestions for consideration only.
4. User Responsibilities
4.1 Professional Judgment Required
You acknowledge and agree that:
- You will exercise independent professional judgment in all clinical decisions
- You will verify all AI-generated content before using it in clinical practice or patient care
- You will not rely solely on the Service for diagnosis or treatment decisions
- You are solely responsible for the care provided to your patients
- You will use the Service only as a supplementary tool to assist in organizing your own clinical thinking
4.2 Prohibited Uses
You agree NOT to use the Service to:
- Provide direct medical advice to patients without independent clinical evaluation
- Replace proper medical examination and diagnostic procedures
- Make clinical decisions without independent verification
- Share your account access with unauthorized individuals
- Input false or misleading patient information
- Violate any applicable laws or regulations, including HIPAA
- Reverse engineer, copy, or create derivative works of the Service
4.3 Accuracy of Information
You are responsible for the accuracy and completeness of all information you input into the Service. The quality of AI-generated output depends on the quality of input provided.
5. Privacy and Data Protection
5.1 HIPAA Compliance
We are committed to protecting the privacy and security of Protected Health Information (PHI) in accordance with the Health Insurance Portability and Accountability Act (HIPAA).
5.2 Business Associate Agreement
For Professional and Enterprise customers, we will enter into a Business Associate Agreement (BAA) as required under HIPAA. The BAA is incorporated by reference into these Terms.
5.3 Privacy Policy
Our collection, use, and disclosure of your personal information and PHI is governed by our Privacy Policy, which is incorporated into these Terms by reference.
6. Subscription and Payment
6.1 Subscription Plans
The Service is offered on a subscription basis with various pricing tiers. Current pricing is available on our Pricing page and may be updated from time to time with reasonable notice.
6.2 Free Trial
We may offer a free trial period. No payment information is required to start a trial. If you do not cancel before the trial ends, you will be automatically enrolled in a paid subscription.
6.3 Billing
- Subscriptions are billed monthly or annually in advance
- All fees are non-refundable except as required by law
- We reserve the right to change pricing with 30 days' notice
- You authorize us to charge your payment method for all applicable fees
6.4 Cancellation
You may cancel your subscription at any time. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial months or unused portions of your subscription.
7. Intellectual Property
7.1 Ownership
All intellectual property rights in the Service, including software, algorithms, design, text, graphics, and other content, are owned by ReasonMD or our licensors. These Terms do not grant you any ownership rights to the Service.
7.2 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.
7.3 Your Content
You retain all rights to the clinical notes and patient information you input into the Service. By using the Service, you grant us a license to process, store, and use your content solely to provide the Service to you. We do NOT use your patient data to train AI models.
8. Disclaimers and Limitations of Liability
8.1 WARRANTY DISCLAIMER
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR AI-GENERATED OUTPUT.
8.2 MEDICAL DISCLAIMER
REASONMD IS NOT A MEDICAL DEVICE. IT DOES NOT PROVIDE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. THE SERVICE IS FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. ALWAYS SEEK THE ADVICE OF QUALIFIED HEALTHCARE PROVIDERS WITH ANY QUESTIONS REGARDING MEDICAL CONDITIONS OR TREATMENT.
8.3 LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REASONMD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OR INABILITY TO USE THE SERVICE
- ANY RELIANCE ON AI-GENERATED CONTENT
- ANY CLINICAL DECISIONS MADE BASED ON USE OF THE SERVICE
- ANY ERRORS, MISTAKES, OR INACCURACIES IN CONTENT
- UNAUTHORIZED ACCESS TO YOUR DATA
- ANY OTHER MATTER RELATING TO THE SERVICE
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
8.4 Assumption of Risk
You acknowledge and accept that use of AI-based clinical decision support tools involves inherent risks, including the possibility of errors, inaccuracies, or incorrect suggestions. You assume all risks associated with use of the Service.
9. Indemnification
You agree to indemnify, defend, and hold harmless ReasonMD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any clinical decisions you make
- Any patient care you provide
- Any breach of your professional obligations
10. Term and Termination
10.1 Term
These Terms commence on the date you first access the Service and continue until terminated by either party.
10.2 Termination by You
You may terminate your account at any time by canceling your subscription through the Service.
10.3 Termination by Us
We may suspend or terminate your access to the Service immediately if:
- You breach these Terms
- You engage in fraudulent or illegal activity
- Your payment fails
- We are required to do so by law
- We decide to discontinue the Service
10.4 Effect of Termination
Upon termination, your right to access and use the Service will immediately cease. We will retain your data for 30 days to allow for data export, after which we may delete your data in accordance with our Privacy Policy and data retention obligations.
11. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on our website
- Updating the "Last Updated" date
- Sending you an email notification (for material changes)
Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
12. General Provisions
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
12.6 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT REASONMD IS A CLINICAL DECISION SUPPORT TOOL AND NOT A SUBSTITUTE FOR PROFESSIONAL MEDICAL JUDGMENT.
